138 싱가포르한국상공회의소 정관 제 1 장 총 칙 제 1 조 (명칭) 본 회의소는 싱가포르 한국상공회의소(약칭: 싱가포르한국 商 議 )라 칭하고 영문으로는 The Korean Chamber of Commerce in Singapore(약칭: KOCHAM Singapore)이라 하며 이하 商 議 로 칭한다. 제 2 조 (목적) 商 議 는 싱가포르에 소재하는 한국계 기업 및 경제인 상호간의 친목과 정보교환을 통하여 한-싱 양국 간의 경제협력 및 무역증 진에 이바지하고, 한-싱 정부에 대한 통상 금융관련 건의 및 교섭 활동을 전개함으로써 회원의 의사와 권익을 신장시키는 한 편 양국간 민간차원의 친선을 공고히 함을 목적으로 한다. 제 3 조 (소재지) 商 議 주소지는 79 Anson Road #10-01 Singapore 로 한다. 제 4 조 (구성) 商 議 는 다음의 회원으로 구성된다. 제 2 장 회 원 1. 정회원 자격은 다음에 해당하는 자로 한다. i) 한국에서 진출한(공, 사)기업, 현지법인, 금융기관의 지사(점) 및 사무소, 경제단체 ii) 싱가포르 법에 의하여 한국인이 설립한 현지법인 및 개인사업자 2. 준회원 자격은 다음에 해당하는 자로 한다. i) 한국과 사업적 이해관계를 지닌 싱가포르 내의 외국법인 ii) 싱가포르 소재 외국기업으로서 한국인 근무자가 있는 기업 3. 명예회원 i) 한국 및 싱가포르 정부의 대표자 ii) 기타 商 議 에 중요한 기여를 하거나 상당한 지원을 제공한 외국단체 및 인사 제 5 조 (자격 및 권한) 1. 정회원은 하나의 의결권을 지니며, 商 議 내에서 직책을 맡을 자격이 있다. 2. 준회원은 의결권이 없으며, 商 議 내에서 직책을 맡을 수 없다. 단, 법인인 준회원의 경우, 정회원에 준하는 회비 납부시에는 정회원 자격을 부여 받는다. 3. 명예회원은 의결권이 없다. 제 6 조 (명예회원 위촉) 명예회원은 운영위원회의 추천에 의하여 회장이 위촉한다. 제 7 조 (가입) 商 議 에 대하여 정회원이나 준회원으로 가입신청이 있을 때는 회장 및 부회장으로 구성되는 회장단이 심의 결정한다. 제 8 조 (탈퇴) 정회원 및 준회원이 商 議 를 탈퇴하고자 할 때는 30일 전에 탈퇴 사유를 서면으로 제출하여 회장단의 승인을 받아야 한다. 138 Directory 2014~2015

139 싱가포르한국상공회의소 정관 제 9 조 (제명) 회원이 다음 각 항의 하나에 해당될 때는 운영위원회의 의결로 제명한다. 1. 정회원, 준회원으로서의 회비납입을 태만히 한 때 2. 商 議 의 사업을 방해한 때 3. 법적 등 기타행위로써 신용을 상실한 때 4. 기타 商 議 회원으로서 부적당하다고 인정될 때 제 10 조 (회비) 1. 정회원 및 준회원은 총회에서 정하는 바에 의하여 회비를 납부해야 한다. 2. 회원의 탈퇴 또는 제명의 경우에도 당해 사업연도에 대한 회비납부 의무가 있다. [제 1 절 임원] 제 11 조 (구성) 商 議 는 다음의 임원을 둔다. 회 장 1인 부회장 15인 이내 감 사 1인 제 3 장 기 관 제 12 조 (선임) 1. 회장은 다음 두 가지 요건 중 하나를 충족한 사람 중 운영위원회에서 추천하여 총회에서 선임한다. i) 商 議 의 부회장 또는 운영위원으로 2년 이상 역임한 자 ii) 정회원으로서 직전 3년간 소정의 회비를 납부한 자 2. 부회장은 회장이 임명한다. 3. 감사는 운영위원회의 추천으로 총회에서 선임한다. 제 13 조 (직무) 1. 회장은 商 議 를 대표하여 직무를 총괄한다. 2. 부회장은 회장을 보좌하며, 회장의 임명에 의해 수석부회장 1인을 둘 수 있다. 수석부회장은 회장 유고시 그 직무를 대행한다. 3. 감사는 商 議 회계를 감사한다. 제 14 조 (임기) 회장의 임기는 2년으로 연임이 가능하고, 감사의 임기는 2년으로 연임이 불가하다. 감사 궐위시에는 운영위원회의 추천을 받아, 회장이 신임감사를 임명하며, 잔여임기는 연임기간 산정시 포함되지 않는다. 부회장은 별도의 임기를 정하지 않는다. 제 15 조 (명예회장 및 고문) 1. 회장은 주 싱가포르 한국대사와 전임회장을 각각 명예회장과 고문으로 추대할 수 있다. 2. 회장은 전임회장과 상의에 현저한 공로가 있는 인사를 고문으로 추대 할 수 있다. 3. 명예회장 및 고문은 회장의 자문에 응하여 회의에 참석하여 의견을 개진할 수 있다. 140 싱가포르한국상공회의소 정관 제 17 조 (개최시기) 1. 정기총회는 매년 4월에 개최한다. 2. 임시총회는 다음 각 호의 경우에 개최한다. i) 회장이 필요하다고 인정할 때 ii) 정회원 50명 이상의 동의를 얻어 회의의 목적 및 소집사유를 기재한 서면을 제출하여 소집을 요구한 때 제 18 조 (의사정족수) 총회는 정회원의 30%의 출석으로 개최하고, 출석회원 과반수로써 의결한다. 제 19 조 (의장) 1. 회장은 총회의 의장이 되며 회장의 유고시에는 수석부회장이, 수석부회장의 유고시에는 부회장단 중 1인이 연장자 순에 의하여 의장이 된다. 다만, 회장 및 부회장 모두의 유고시에는 회원의 호선에 의하여 임시의장을 정한다. 2. 의장은 표결권을 가지며 가부동수인 때는 의장이 결정권을 가진다. 제 20 조 (의결사항) 다음 각 항의 사항은 총회의 결의를 얻어야 한다. 1. 商 議 의 해산 및 합병 2. 정관의 개정 및 변경 3. 예산 및 결산의 승인 4. 정관에서 총회의 결의를 받도록 규정한 사항 5. 기타 商 議 운영상 중요한 사항 제 21 조 (소집공지) 총회의 소집은 10일 전에 회의의 목적, 일시, 장소를 회원에게 통보하여야 한다. 제 22 조 (의사록) 총회의 의사록은 사무국에서 기록하여 보관한다. [제 4 절 분과위원회] 제 27 조 (설치) 1. 商 議 는 목적달성 및 효율적인 업무수행을 위해 운영위원회의 결의 및 회원의 요청에 의하여 회원으로 구성하는 분과위원회를 둘 수 있다. 2. 회원의 요청에 의하여 분과위원회를 설치할 때에는 회원 5인 이상의 동의서를 받아 사업계획서와 함께 운영위원회에 제출 하여 승인을 받아야 한다. 3. 분과위원회는 商 議 의 활동을 지원해야하며, 필요시 회장이 부과한 임무를 수행해야 한다. 4. 분과위원회는 의결된 주요사항과 활동상황을 회장에 보고하여야 한다. 제 28 조 (분과위원장) 분과위원장은 회장이 임명한다. [제 5 절 사무국] 제 29 조 (설치) 商 議 는 회장의 업무를 보좌 및 사무를 처리하기 위해 사무국을 둔다. 제 30 조 (업무관장) 1. 사무국 운영은 회장이 총괄하며, 이의 보좌를 위하여 사무총장 및 약간 명의 직원을 둘 수 있다. 2. 사무총장 및 직원은 회장이 임명하며, 사무총장은 부회장을 겸임할 수 있다. 3. 사무국 직원은 회장의 임명에 의해 간사, 회계, 홍보, 법률 등 商 議 활동에 필요한 직책을 맡을 수 있다. 제 31 조 (회계연도) 商 議 의 회계연도는 매년 4월 1일부터 익년 3월 31일로 한다. 제 32 조 (재원) 商 議 의 경비는 다음 각 항의 수입으로 충당한다. 1. 회비 2. 기부금 3. 기타 수입 제 33 조 (회계기록 및 유지) 제 4 장 회 계 회계 담당자는 商 議 를 대리하여 모든 금전적인 거래에 대해 회계 장부를 정확히 기록, 유지해야 한다. 142 싱가포르한국상공회의소 정관 제 34 조 (경비지출) 지출결의서의 결재를 득한 후, 은행에서 출금하기 위한 수표 등은 회장, 수석부회장, 사무총장, 사무국 회계담당자 중 2명이 서명한다. 제 35 조 (결산보고) 회장은 매 회계연도 말의 재산목록, 대차대조표, 수익계산서 및 사업보고서를 작성하여 감사의 의견서를 첨부하여 정기총회에 보고하여야 한다. 제 36 조 (결산의 이월) 결산의 잔여 잉여금 또는 부족금이 생긴 때에는 다음 년도에 이월한다. 제 5 장 분 쟁 제 37 조 (분쟁) 회원간에 분쟁이 발생할 경우, 본 정관에 따라 임시총회에서 해결한다. 제 6 장 해 산 제 38 조 (해산 및 청산) 1. 商 議 의 해산 및 청산에 관하여는 총회의 결의에 의한다. 2. 해산 후 7일 이내에 해산 증명서를 협회 등기소에 제출해야 한다. 제 39 조 (보칙) 본 회칙에 명시되지 않은 사항은 통상 관례에 따른다. 제 7 장 보 칙 부 칙 1. 이 정관은 총회가 결의한 날로부터 시행한다. 개정 : 2006년 8월 25일, 1차 수정 보완한다. 2. 이 정관은 총회가 결의한 날로부터 시행한다. 개정 : 2010년 4월 13일, 2차 수정 보완한다. 3. 이 정관은 총회가 결의한 날로부터 시행한다. 개정 : 2013년 4월 9일, 3차 수정 보완한다. <끝> 142 Directory 2014~2015

143 KOCHAM s Articles of Association Article 1. General Principles Section 1 (Name) The name of this Society shall be The Korean Chamber of Commerce in Singapore: KOCHAM Singapore. Section 2 (Objectives) The Society shall serve to facilitate Korean-Singapore economic cooperation and trade by sharing information and building good will amongst Korean companies and members of the business community in Singapore, shall promote opinions and benefits of members and consolidate friendship between both countries at the private level by suggesting to and negotiating with companies from both nations in matters related to trade and finance. Section 3 (Location of Head Office) The office of the Society shall be located at 79 Anson Road #10-01 Singapore Article 2. Membership Section 4 (Structure & Membership) 1. Regular Membership is open to the following groups: i) Corporations (public and private), local corporate entities, branches or offices of financial institutes, business organizations from Korea ii) Local corporate entities or private businesses incorporated pursuant to Singaporean law 2. Associate Membership is open to the following groups: i) Foreign companies in Singapore with business interests in Korea ii) Foreign companies in Singapore with any Korean national and resident 3. Honorary Membership is open to the following groups: i) Korean and Singaporean government representatives ii) Foreign organizations or people who have made significant contributions or have rendered invaluable assistance to the Society. Section 5 (Qualifications and Rights) 1. Each Regular Member shall hold one vote, and is eligible to stand for office in the Society. 2. Associate Members shall have no right to vote or to hold office in the Society. However, Associate Members shall be granted Regular Membership if they pay a membership fee equivalent to that of regular members. 3. Honorary Members shall have no right to vote. Section 6 (Appointment of Honorary Members) Honorary Members shall be appointed upon the recommendation of the Management Committee. Section 7 (Application for Membership) Upon receipt of application for Regular or Associate membership, the Presidential committee, which is comprised of the President and the Vice President, shall deliberate and make a decision to accept or reject the application. Section 8 (Withdrawal from the Society) Should a Regular or Associate Member decide to withdraw from the Society, such party must submit a written explanation for withdrawal and receive approval from the Presidential committee no less than 30 days before such withdrawal. 144 KOCHAM s Articles of Association Section 9 (Termination of Membership) In any of the following circumstances, members shall be expelled from the Society by resolution of the Management Committee. 1. Where a Regular and Associate Member fails to make membership fee payments 2. Where a member disrupts the business of the Society 3. Where a member does damage to their reputation through illegal acts, or other inappropriate actions 4. Where a certain member is deemed unsuitable by other Society members Section 10 (Membership Fees) 1. Regular and Associate Members shall pay dues in the amount decided at the General Meeting. 2. In the cases of withdrawal or termination, the member shall be obligated to make full membership fee payment for current business year. Article 3. Organization Chapter 1 [Executives] Section 11 (Composition of Executives) The Society shall have executive officers, following the structure given below: One President Less than 15 Vice Presidents One Auditor Section 12 (Appointment of Executives) 1. The President shall be appointed at a General Meeting according to the Management Committee s recommendation. Either one of the following requirements must be fulfilled. i) A member who served the Society as a Vice President or a Member of Management Committee for at least 2 years ii) A regular member who has been paying the membership fees for 3 consecutive years. 2. Vice Presidents shall be appointed by the President. 3. The Auditor shall be appointed at a General Meeting upon the recommendation of the Management Committee. Section 13 (Responsibilities of Executives) 1. The President shall manage general affairs, representing the Society. 2. The Vice Presidents shall assist the President. The President can appoint one Senior Vice President, who shall assume the responsibilities of the President in the case of his/her absence. 3. The Auditor shall inspect the Society s accounting. Section 14 (Term of Offices) The term of Presidential office shall be two years and can be renewed. The term of Auditor s office shall be 2 years and cannot be renewed. In the case of the Auditor s absence, the President shall appoint a new auditor after hearing the recommendations of the Management Committee, whose remaining term shall not be included as a part of reappointment. The term of Vice Presidential office shall not be determined definitively. Section 15 (Honorary President and Advisor) 1. The President can appoint the Korean ambassador to Singapore and the preceding president as Honorary President and Advisor, respectively. 2. 145 KOCHAM s Articles of Association 3. The Honorary president and Advisor can give their opinions in meetings in response to inquiries from the President. Chapter 2 [General Meeting] Section 16 (Composition of General Meeting) The General Meeting shall be composed of all Regular Members. Section 17 (Time of Meeting) 1. The Annual General Meeting shall be held in April. 2. Special General Meetings shall be held in the following cases: i) Where the President deems it necessary ii) Where such meeting is requested with a written request explaining its purpose and reasons and with the signed consent of more than 50 Regular Members. Section 18 (Quorum) At least 30% of the total Regular Members must be present at a General Meeting to form a quorum. Majority consent of the members present is required for any resolution to pass. Section 19 (Chairperson) 1. The President, or the Senior Vice President in the absence of the former, or the oldest of the remaining Vice Presidents in the absence of the Senior Vice President, shall be the chairperson of the General Meeting. In a situation where all of Presidential Committee is absent, a temporary chairperson shall be elected by the members who are in attendance. 2. The President shall have a vote, and the right to cast a deciding vote in the case of tie. Section 20 (Resolution Items) The following items shall be determined at the General Meeting. 1. Dissolution and merger of the Society 2. Revisions and amendments to the Article of Incorporation 3. Approval for budget and settlements 4. Items required to be resolved at the General Meeting in the Article of Incorporation 5. Any other operationally important issues Section 21 (Notice) A notice detailing purpose, time and venue shall be given to the members at least 10 days prior to such a General Meeting. Section 22 (Minutes) The minutes of General Meetings shall be kept by the Secretariat. Chapter 3 [Management Committee] Section 23 (Composition of the Management Committee) The Society shall have a Management Committee as follows. One President Less than 15 Vice Presidents Less than 20 Representatives from Division Committees One Honorary Member appointed by the President Directory 2014~

146 KOCHAM s Articles of Association Section 24 (Convocation) The Management Committee shall be held by Presidential call when necessary. Section 25 (Resolution Items) The following items shall be the responsibility of the Management Committee: 1. Business plan 2. Review of budget and settlement 3. Agenda for General Meeting 4. Operational matters for the Secretariat 5. Issues delegated to the Management Committee at the General Meeting 6. Items required to be resolved by the Management Committee in the Article of Incorporation 7. Any other items deemed necessary by the President Section 26 (Applicable Provisions) In matters related to Management Committee, Section 18, 21, 22 can be applied. Chapter 4 [Division Committee] Section 27 (Establishment) 1. The Society can establish Division Committees as requested by members or resolved by the Management Committee for the sake of efficient performance and attainment of objectives. 2. When establishing a Division Committee at a member s request, written consent from more than 5 members along with a business plan shall be submitted to and approved by the Management Committee. 3. Division Committees shall assist the activities of the Society, and carry out responsibilities assigned by the President, when necessary. 4. The Division Committee shall report details of major resolutions and other activities to the President. Section 28 (Division Head) Division Heads shall be appointed by the President. Chapter 5 [Secretariat] Section 29 (Establishment) The Society shall have a Secretariat to assist with Presidential tasks and administrative work. Section 30 (Task Management) 1. The operation of the Secretariat shall be managed by the President. A Secretary General and a staff may be appointed to serve such cause. 2. The Secretary General and staff shall be appointed by the President. A Vice President may assume the office Secretary General. 3. The Secretariat staff members may take positions to carry out the necessary activities of the Society such as secretary, accountant, PR, legal matters as appointed by the President. Section 31 (Business Year) Article 4. Accounting The Business year of the Society shall run from 1st April to 31st March. 146 Directory 2014~2015

147 KOCHAM s Articles of Association Section 32 (Funding) The Society s expenses shall be funded with the following. 1. Membership fees 2. Donations 3. Other revenue Section 33 (Accounting Records and Archives) The Society accountant shall keep and archive records of accounting books for all monetary transactions on behalf of the Society. Section 34 (Expense) After receiving approval for an expense sheet, the check to withdraw money from the bank must be signed by two of the following people: the President, Senior Vice President, Secretary General, or Secretariat accountant. Section 35 (Financial Report) The President shall report, at the General Meeting, the Society s list of assets, balance sheet, profit/loss statement, business report as at the end of every business year with an auditor s opinion. Section 36 (Carry Forward) Earned surplus or deficit shall be carried forward to the next business year. Article 5. Conflicts Section 37 (Conflicts) When irresolvable conflict among members occurs, such conflict shall be resolved at Extraordinary General Meeting pursuant to Article of Incorporation. Article 6. Dissolution Section 38 (Dissolution and Liquidation) 1. The dissolution and liquidation of the Society can only result from a resolution at a General Meeting. 2. The dissolution certificate shall be submitted to the Association Registrar no later than 7 days after the dissolution. Article 7. Supplementary Rules Section 39 (Supplementary Rules) Points not specified under KOCHAM s Article will abide by the usual practice. Addendum 1. The Article of Incorporation shall be effective from the date of the General Meeting resolution.
