Article 4: Members (1). The organization s members are residing in Minnesota and the neighboring States residents, who are a woman at least 18 years old and Korean descent. (2). a. The organization s Yearly Membership Fee is $50.00 and Board Membership Fee is $100.00. Fees can be adjusted by members majority agreement and also can be make payments at your convenience. b. Working officers who is not in good financial stage to afford, membership and the board membership fees, the fee rule does not apply. We appreciate the individual s volunteerism. (3). When Korean woman in need of our help, officers or board members can make immediate decision of dollar amount based on available fund. (4). When a member accounts for a following event, like a funeral, marriage, a child birth, or adoption, and open for a business, we must express our sincerity. (For a funeral, we expand this to immediate family members and in-laws.) (5). For above number (4) the gift value and the delivery of the gift will be executed by incumbent president or appointed personnel. (6). All membership, board membership, and contributions were that we have received from anyone is non-refundable regardless in any circumstances. 제 4 조: 회원, 회비, 그리고 선물 과 기부금 (1). 본 회 회원은 미네소타 주와 근접 주에 거주하는 18 세 이상의 한국계 혈통을 가진 여성으로 구성합니다. (2). a. 본 회 회비는 매년 $50, 이며 이사비는 $100.00 입니다. 회비, 이사비는 회원들의 과반수 이상의 찬성으로 변경 될수 있으며, 여러분들의 편리를 감안, 여러번으로 나누어서 지불 할수도 있습니다. (3). 한미 여성이 불우한 처지에 있을경우, 임원 간부진 및 이사진의 결정에 2

따라 재정이 허락하는한에서 기부금을 결정 도움을 줍니다. (4). 우리 여성회에서는, 회원이 다음과 같이 기재한 결혼, 출생, 입양, 개업 경사 와 그리고 장례식 조사를 접하게 되면 꼭 우리의 따뜻한 마음을 표합니다. (장례식은 직계가족과 시부모께도 확대 해 이 뜻을 표합니다.). (5). 위의 사항 (4) 번 선물의 금액과 선물 전달은 현 회장이나 아니면 지정된 대표자가 이행합니다. (6). 저희들이 여러분들께 받은 회비, 이사비, 그리고 기증 해 주신 성금은 어떤 경우를 막론하고 환불이 되지 않습니다. Article 5: The Types of Meeting (1). The organization s meetings are identify as below a. General Conference b. Board Members Conference c. Monthly Meeting (2). a. General Conference will be held in June every year. (This can be combined with the monthly meeting.) b. The board members meeting can be held as necessity of the organization by the President or the Director of the board member s determination. The meeting organizer is responsible to contact all of the board members. c. The Monthly meetings are holding on the Saturday of the last week of every month. (It can be change based on the availability of the meeting place and the members convenience.). (3). The president will be the speaker of the General Conference to lead the meeting. When the president is absent, vice president will be execute the meeting. (4). In the board members conference, Director of the board member will be the speaker of the conference will be lead the meeting. 3

(5). The validity of the meeting agenda is based on the attended members of majority agreement. 제 5 조: 모임 의 종류 (1). 본 회는 아래와 같이 구분합니다. a. 정기 총회 b. 이사회 c. 월례회 (2). a. 정기총회는 매년 1 회, 6 월에 합니다. (월례회에 겹쳐서 할수도 있습니다.) b. 이사회는 회장이나 이사장의 필요에 따라 모임을 소집하고 또한 총 이사진들에게도 소집 연락을 취합니다. c. 월례회는 매달 마지막 주 토요일에 모임을 가집니다. (허락되는 모임장소와 회원님들의 편리에 따라 변경할수도 있습니다.) (3). 회장은 총회 의 의장이 되어 회의 의 진행을 맡습니다. 회장이 불참시에는, 부회장이 이를 대행 합니다. (4). 이사회는 이사장이 의장이 되어 회의 의 진행을 맡습니다. 이사장이 불참시에는 회장이 이를 대행합니다. (5). 회의 의 안건은 참석 하신 회원님들의 과반수 이상의 찬성을 얻어야 효과를 볼수 있습니다. Article 6: Officers and the staff (1). a. Every year in June, members elect the president and vice president and then, elected president and vice president appoint the staff and supervisory members. b. Becoming the board member, the candidate of the Board membership, must have attended at least monthly meetings or volunteer work for a year and then elected by the board members. 4

c. All officers and the staff members must report to the president, in the event of anyone s resignation. (2). Elected president and vice president will be going to observe incumbent president s leadership at monthly meetings and consult any necessities for the transition until they take over the next term. (3). The staff and the supervisory personnel as well as the presidents and the board members term will begin at the same as the physical year from September 1 st, through August 31 st. (4). Candidate of the president and vice president have no-show at the General Conference without any explanation of the circumstance to incumbent president will disqualify for the position. (5). All positions term will be a one year but it can be extended if members desire to extend and receive their support. (6). a. The president, who completed one year term qualified to be an automatic board membership. b. The president, who did not complete the one year term whatever the reason, is not eligible for automatic board membership. However, the incumbent board members can voted in if majority board members are supporting. (7). a. Any board member, who pays board membership fee, shall be honored even though they could not attend the meetings. b. Who is not paying board membership fee, is not eligible to act as a board member. c. Who were inactive in the board membership, the moment they pay the board membership fee, they will be reinstate immediately. d. Director of Board member is elected by board members. All board members who paid fees are eligible to become a Director of board. 제 6 조: 임원 및 간부진 (1). a. 매년 6 월, 회원들이, 다음 임기를 이어갈 새 회장과 부회장을 선출하고 선출된 회장과 부회장이 함께 일할 임원및 간부들을 임명합니다. b. 이사가 되는 길은, 이사 후보자가 1 년 이상 월례회 나 봉사활동에 참여해 5

오고 있으며, 현 이사진들의 과반수 이상의 동의로 이사가 선출 됩니다. c. 본 회 의 이사 는 물론이고 어느 임원, 간부진이 사임할 경우, 필히 회장에게 통보를 해야 합니다. (2). 선출된 회장, 부회장은 임기를 이임 받을때까지 선임 회장의 회의 진행을 관찰하며, 이임작업에 필요한 사항들을 선임회장단과 논의 합니다. (3). 임원 간부진들의 임기는 물론이고, 회장단과 이사진들의 임기도 새 회계 연도에 맞춰 9 월 1 일 부터 8 월 31 일까지로 합니다. (4). 회장, 부회장 후보자가 현 회장님께 특별한 사유의 설명도 없이 정기 총회에 불참시에는 직책 후보자의 자격을 잃게 됩니다. (5). 전 직책의 임기는 일년으로 하지만, 회원님들께서 원하시고 또 후원을 해 주시면 직책 임기 연기를 할수 있습니다. (6). a. 일년 동안의 회장 임기를 완수한 회장은 자동으로 이사가 될 자격을 얻습니다. b. 어떤 이유를 막론하고 일년의 회장 임기를 완수 하지 않은 회장은 자동으로 이사가 될 자격을 잃습니다. 그렇지만, 다수의 이사님들이 지원을 하시면 현 이사님들의 투표로 이사 자격을 얻을수 있습니다. (7). a. 어느 이사분이든지, 이사비를 내시는 분은 모임에 참석을 못 하셔도 이사님 으로서의 존중을 받습니다. b. 이사 자격을 가지고 있는 분이라도, 이사비를 내지 않는 분은 이사로서의 행동을 하실수 있는 자격이 없습니다. c. 이사로서의 활동을 한동안 하지 않았던 분이지만, 이사비를 내시면 그 즉시 이사로서의 자격을 다시 되찾게 됩니다. d. 이사회의 이사장은 현 이사님들이 추천을 합니다. 이사비를 내어주신 이사님은 모두 이사장이 될 자격이 있습니다. Article 7: Finance (1). The source of our organization s operating cost is membership and 6

board membership fees paid by our members and any contribution that we receive. (2). Our organization will be held various fundraise events throughout the year to support our additional financial needs. (3). Our organization s Physical Year begins as of September 1, through August 31. Reporting the financial report should be every 3 months, and the final report is in September. 제 7 조: 재정 및 회계 (1). 본 회를 운영 하는데 필요한 운영비는 우리 회원님들께서 내어 주는 회비, 이사비 그리고 여러분들께서 기증 해 주시는 여러 헌금으로 이어집니다. (2). 본 회는 여러가지 성금 모으기 운동을 연중에 벌여 과외로 필요한 재정을 돕습니다. (3). 본 회의 회계연도는 9 월 1 일에 시작해서 8 월 31 일 로 마칩니다. 회계 보고는 매 3 개월 마다 하며, 총 결산 보고는 9 월에 합니다. Article 8: Additional Rules (1). If at least 2/3 of who paid the membership fee members are requesting the organization s dissolution the organization must dissolve. (2). If we discover any word or misinterpreted the rule of by law, board members and the staff members including the presidents can be updated in their discretion. (3). This By-Law is basic guidelines to develop our organization s prosperity. The rules can be added or eliminated and modified with the officers and the board members agreement. (4). To valid this By Law rules must present at monthly meeting or at General Conference to vote each article that change has been made. Once it passes then the changed article effective immediately. 제 8 조: 부칙 7

(1). 만약 3 분의 2 이상의 회비를 내주신 회원님들께서 본 단체 의 해산을 요청하면, 당연히 해산을 해야 합니다. (2). 본 회칙에 어떠한 단어나 해석이 잘못된 것이 발견되면, 이사진과 임원 간부진의 의견에 따라 수정 할수 있습니다. (3). 본 회칙은 한미 여성회의 발전성을 높이기 위한 기본 지침입니다. 이 회칙은 임원 간부진과 이사진들의 합의로 보충을 하거나 삭제를 할수 있으며, 또는 보완도 할수 있습니다. (4). 본 회칙 변경의 효력은 반드시 변경한 조항들을 월례회 나 총회 에 제시해 투표를 받아야 합니다. 이것이 통과되면 그 즉시 변경한 조항들의 영향을 바로 적용 할수 있습니다. 8
