~ 1 ~ BY-LAWS OF KOREAN AMERICAN CLUB OF LAGUNA WOODS VILLAGE 라구나 우즈 빌리지 한인회 클럽 회칙 Proposed amendment of the By-laws to the board of directors on 2/1/2014 and the board amended it on 5/9/14-5/21/14 and approved unanimously on July 7, 2014. ARTICLE I. NAME AND LOCATION 제 1 장 명칭 및 장소 Section 1. Name of the organization shall be the Korean-American Club (therein after called KAC), a nonprofit organization under the laws of California State. Section 2. Meeting place of the club shall be located in Laguna Woods, California or in such other place as may be determined by the Board of Directors (therein after called the Board). 제 1 조. 라구나 우즈 빌리지 내의 주민을 위하여 캘리포니아 주법하에 구성된 비영리 단체로 Korean-American Club (KAC) 이라 칭한다. 제 2 조. 회의 장소는 라구나 우즈내에 정하되, 필요에 따라 이사회는 다른곳을 택할수 있다. ARTICLE II. PURPOSES AND MISSION 제 2 장. 클럽의 목적과 사명 Section 1. The purposes of this club shall be: A. To provide assistance to new comers of Korean National to Laguna Woods Village B. To promote friendship and harmony among the members with good citizenship C. To disseminate and share geriatric information for the well-being of the members D. To encourage and to promote the participation in the political process of our democratic system of the federal and the local governments, and the local and national elections E. To help find educational opportunities for improving the proficiency in English, and for others such as basic computer and internet knowledge which is vital parts in our lives. Page 1 of 6
~ 2 ~ 제 1 조. 클럽의 사명 A. 새로 입주하는 한인들의 편의를 위하여 도움을 제공한다. B. 회원들은서로 시민의식을 갖고 친교와 유대관계를 장려한다. C. 회원들간의 건강과 복리를 위하여 노인에 관한 다방면의 건강 정보를 제공한다. D. 민주주의를 장려 하기 위해 미 연방 및 지방 정부의 정치제도에 참여하도록 도와주며 선거에 적극 참여할 것을 권장한다. E. 영어 실력 향상과 우리 생활에 중요한 기본적인 컴퓨터 및 인터넷 지식을 위한 정보를 제공한다. ARTICLE III. MEMBERSHIP 제 3 장. 회원자격 Section 1. Regular Membership: all residents in Laguna Woods Village are eligible for members without any discrimination based on sex, race, national origin, color, religion, political views, and ethnicity. Only those in good standing become club members and shall have voting right. Section 2. Associate Membership: The non-resident or the seasonal resident on lease, who are interested in KAC activities and donate sizable funds for the club, can be a member through the Board s approval. However the associate member is not eligible for voting. 제 1 조. 정회원자격 라구나우즈 거주자는 성별과 인종 그리고 종교적, 정치적 차별대우를 받지 않고 누구나 회원이 될 자격이 있으며 회비를 지불한 분이 회원 및 투표 자격을 갖는다. 제 2 조. 준회원 자격 : 이사회를 통해 라구나우드 빌리지 외부에 거주하는 분과 또는 임시 임대로 거주하는분으로 한인회 에 관심을 갖고 후원하는분 에게 준회원의 자격을 부여한다. 단 선거권은 없다. ARTICLE IV. MEMBERSHIP DUES 제 4 장. 회비 Section 1. Annual dues shall be recommended by the Board and ratified by a majority of the members. The annual dues for the year shall be payable during January of the same year and shall become delinquent after January. Section 2. Prorated dues will be applied based on quarter of the year in which member moved in. 제 1 조. 연 회비는 이사회의에서 결정하여 총회의 다수가결로 인준을 받아야 한다. 회원은 그해의 회비를 그해의 1 월말까지 납부해야 한다. 제 2 조. 비률회비: 입주한 분기에 따라 그해의 1 년분 회비를 조절한다. ARTICLE V. MEETINGS 제 5 장. 회의 Section 1. Regular general meeting shall be held during the month of December or the ensuing month (January). The Board reserves the right to change number of regular meeting and meeting date. Section 2. Voting: Unless otherwise specifically provided by the Bylaws, a majority vote of those present and voting shall prevail. 제 1 조. 정기총회: 매년 그해의 연말 또는 연초경에 정기총회를 개최한다. 이사회는 필요에 따라 총회 수와 총회장소 및 시일을 변경할수 있다. 제 2 조. 투표: 회칙에 분명히 규명되어 있지 않은 의결 사항은 대다수의 표결로 가결한다. ARTICLE VI. DIRECTORS AND OFFICERS 제 6 장. 이사와 임원 Section 1. The Board of Directors consists of 9 board members and two presidents (present and immediate past president) as advisor. Section 2. Each Board member is elected to serve a three-year term. Page 2 of 6

Election of Board members and president: At least 10 weeks before the annual meeting, the chairman, with consent and approval of the Board, shall submit a slate of at least the number of candidates for Board member as needed and the president and vice-president of administration to the annual meeting for voting. The candidates for Directors and president receiving the majority of votes by those present shall be elected to the position. Section 4. Chairman: The Board may elect a chairman of the Board and secretary. The chairman shall maintain communication and harmony with members of the Board of Directors and officers. Section 5. The secretary keeps the record of all the board meetings. Section 6. Advisor: The Board, if necessary, may elect a past president who has finished his/her term as an adviser for the club. Section 7. Board Meeting: Regular Board meeting shall be held no less than 2 times a year. However the Board can meet any time if necessary. Time and place are to be determined by the Board. Section 8. Quorum: A majority of the Board shall constitute a quorum at any meeting of the Board. Absentee may delegate his/her voting right to another attending member. However, no member shall be delegated more than one absentee voting right. Section 9. Board member s Dues: In addition the regular annual dues, the Board member shall pay Board dues the amount of which will be assessed by the Board. The Board dues need not to be ratified by the members. 제 1 조. 이사회원 수는 9 명이고 2 명의 현재와 직전 회장을 고문으로 추가해서 11 명으로 구성된다 제 2 조. 각각 선출된 이사는 3 년을 임기로 한다. 제 3 조. 이사 와 새회장 선출: 적어도 총회의 10 주전에 이사장은 이사들의 동의를 얻어 필요되는수의 이사들과 차기 임원 회장과 부회장을 추천 해서 총회의 출석 인원 과반수의 찬성으로 선정한다. 제 4 조. 이사장과 서기 선출 : 이사진은 이사장과 서기를 선출 한다. 이사장은 이사회원들과의 유대관계를 유지하며 임원 회장을 돕는다. 제 5 조. 이사회 서기는 이사회의 회의록을 기록하고 보존 한다. 제 6 조. 고문: 이사회는 필요에 따라 임기를 마친 전직회장을 고문으로 뽑을수 있다. 제 7 조. 이사회의 모임: 정기 이사회는 매년 적어도 두 번 하되 필요에 따라 수시로 소집할수 있다. 장소와 일자는 이사진이 정한다. 제 8 조. 이사회의 개회 정족수: 정족수는 출석하는 이사회원의 과반수로 정한다. 결석 이사회원은 다른 출석 이사회원에게 투표권을 위임할수 있다. 단 위임받은 회원은 투표권을 하나 이상 위임받을수 없다. 제 9 조. 이사회비: 이사회원은 회원 회비에 추가하여 매년 이사회비를 납부 해야 한다. 액수는 이사회에서 결정하며 총회의 인준을 받을 필요가 없다 ARTICLE VII OFFICERS AND THEIR DUTIES 제 7 장. 임원구성과 임무 Section 1. Officers consist of president, vice-president, secretary general, treasurer and recording secretary. Section 2. Elected Officers: President and vice-president shall be elected by the Board and be ratified at the regular meeting by the majority of the members present and voting. The president shall appoint a secretary general, treasurer and recording secretary subject to approval by the Board. Section 3. Terms of the president shall be one year and, if necessary, may be reappointed another year. Section 4. Qualification: Regular member in good standing shall be eligible for nomination and election to any office of the club. 제 1 조. 임원은 회장, 부회장, 총무, 재무와 기록서기 로 구성된다 제 2 조. 임원선출: 회장과 부회장은 이사회에서 선출되며, 총회에서 대다수의 투표로 인준울 받아야 한다. 선출된 회장은 이사회의 동의를 얻어 총무 및 재무를 임명한다. 제 3 조. 임원회장의 임기: 1 년으로 하되, 필요에 따라 1 년 더 재임 할수 있다. 제 4 조. 임원 자격: 회비 지불의 의무를 다한 정회원은 누구나 임원 또는 이사로 선출될수 있다. Section 5. Duties of the officers shall be as follows: A. President: The president is the principal officer who shall 1. preside at all meetings of administration, Page 3 of 6
~ 4 ~ 2. appoint all committee with consent of the Board, 3. maintain open communications with the Board and the Club members, 4. president shall set the yearly activity plan along with its budget and get approval from the board within one month after being inaugurated, 5. make written report to the recreation department upon changes of officers or bylaws, 6. attend bi-monthly meeting of the LWV club president. A representative can attend the meeting in case the president is absent, 7. submit a copy of club directory once a year to club House 1 8. maintain Korean-American plaque posted on the brick column outside Club House 1. B. Vice-President 1. shall preside at all club meeting during the absence of the president 2. may assume additional duties as may be requested by the president and the board C. Secretary General shall 1. assist the president, 2. maintain directory of all Korean nationals living in LWV irrespective of membership qualification, 3. distribute copies of the directory to each member of the club at the general meeting, 4. be responsible for all the communication of KAC activities 5. preside all meetings when president and vice-president are absent, D. Treasurer shall be responsible for 1. collection of the dues, 2. maintenance of club account book and funds and keep all receipts with assigned serial numbers until completion of the account audit, 3. payment of ordinary bills with president s signature and that of special bills with the board s approval, 4. Distribution of financial report to each club member at the general meeting. E. Recording Secretary shall be responsible for recording and keeping the minutes of the club meetings and present them to the next board meeting for approval. F. Vacancies and removal: With the consent of the Board, the president shall fill the vacancies for officers. The Board, by a majority vote, can remove any officer from office for cause. 5 조. 임원의 임무는 다음과 같다 A. 임원 회장 1. 회장은 클럽의 집행 대표자로서 모든 임원회의를 주관하며, 2. 이사회의 동의를 얻어 모든 위원회를 구성한다 3. 이사진과 회원들간의 의사소통을 유지한다 4. 선출된 회장은 취임후 일개월 이내에 년중 행사 계획과 예산을 세워 이사회의 승인을 얻는다. 5. 임원과 회칙의 변경시 이를 라나구나우드 레크리에이션 부처에 문서로 보고 한다 6. 두달에 한번씩 있는 LWV 클럽 회장 회의에 참석한다. 회장 부재시는 대리자가 참석할수 있다. 7. 매년 레크리에이션 부처에 주소록을 제출한다 8. Club House 1 사무실 밖 벽에 붙여놓은 클럽의 plaque 를 유지한다 B. 부회장 1. 회장의 부재시 모든 회의를 주관하며 2. 회장 또는 이사진의 요청에 추가 임무를 맡는다 C. 총무 1. 회장을 보좌하며 2. LWV 내에 거주하는 모든 한인들과 회원들의 주소록을 유지해 나가며 연말 총회때 모든 회원에게 배부한다 3. 한인회의 모든 활동과 한인 회보를 전달하고 홍보한다 4. 회장과 부회장의 부재시 필요한 회의를 주관한다 D. 재무 1. 회비를 모으며, Page 4 of 6
~ 5 ~ 2. 클럽의 재정 장부를 명확히 유지하기 위해 모든 영수증에 일련번호를 지정하여 장부에 기록하며 회계감사가 끝날때 까지 이를 보관 한다 3. 정상적 지출은 회장의 서명을 받아야 하며, 특수 지출은 이사회의 동의를 받아야 한다 4. 정기 총회에서 각 회원에게 재정 보고서를 배부한다 E. 기록서기 모든 회의의 회의록을 기록 보관하며 다음회의에서 이를 인준 받아 보관한다 F. 공석과 해임: 임원에 공석이 생기면 회장은 곧 공석을 메운다. 이사회는 정당한 이유와 근거가 있을시, 임원을 과반수 이상의 투표로 해임 할수 있다. ARTICLE VIII. STANDING COMMITTEE 제 8 장 상임위원 Section 1. Standing Committees are composed of program, publicity, hospitality, and auditing, and are appointed by the president. Section 2. Standing Committees also include the presidents or representatives of special group organizations (such as women s club, Good Samaritan service, golf, chorus, dance, etc.) which promote and enhance the activities and lives of our members. Section 3. Administrative board and Board of Directors shall support the activities of the special group organizations. Section 4. All the members of the special group organizations shall be the regular member of Korean American Club and pay dues. Section 5. Ad Hoc Committee: The president, subject to approval of the Board, shall appoint Ad Hoc Committees as may be necessary. 제 1 조. 상임위원회는 프로그램, 홍보, 안내 및 회계감사를 포함하고 그 위원을 회장이 지명한다. 제 2 조. 또한 회원의 복지와 활동을 향상시키는 특별한 구릅모임 (예: 여성회, 봉사부, 골프, 노래, 춤, 등) 의 회장 혹은 대표를 상임위원으로 초대 한다. 제 3 조. 임원회와 이사진은 특별 구릅모임을 적극 돕는다. 제 4 조. 모든 구릅 회원은 KAC 의 정식 회원이야하고 회비를 완납해야 한다. 제 5 조. 임시 위원회: 회장은 이사진의 동의 하에 필요에 따라 임시 위원회를 구성한다. ARTICLE IX FINANCE 제 9 장. 재정 Section 1. Annual Report: The treasurer shall present an updated financial report at the regular general meeting, and also shall present the current financial report to the Board whenever requested. Section 2. Fund Disbursement: The disbursement of the ordinary bills needs president s signature, while that of special bills needs Board s approval. 제 1 조. 연간 재무보고: 재무는 정기 총회에서 재정 보고서를 회원에게 제출한다. 이사진의 요청이 있을때도 이를 제출한다. 제 2 조. 자금 지출: 클럽의 정상적인 지출은 회장의 서명을 받아야 하고 특수 지출은 이사진의 인가를 받아야 한다. ARTICLE X. FISCAL YEAR AND AUDITING 제 10 장. 회계연도 및 회계감사 Section 1. Accounting fiscal year is same as the calendar year, and auditor shall complete auditing the account book within 60 days from the end of the year, submit the result to the Board. Page 5 of 6
~ 6 ~ 제 1 조. 회계년도는서기 달력 연도를 채택하며 회계연도가 끝난 날짜부터 60 일 내로 회계감사는 감사를 완료하여 그 결과를 이사회에 제출 하여야 한다. ARTICLE XI. BYLAWS 제 11 장. 회칙 Section 1. Bylaws or Amendment thereof becomes effective upon ratification by the majority members at the general meeting. Section 2. Procedure: the bylaws may be amended or repealed by the Board. And prior to ratification by the majority vote of the members at any regular general meeting, they should be consulted with the Recreation Department to check their conformity with LWV Bylaws. 제 1 조. 회칙 발표: 새로운 회칙 또는 수정은 총회에서 회원들의 다수가결로 인준을 받는 즉시 발효한다. 제 2 조. 절차: 이사회는 총회의 다수가결 인준을 받아 회칙을 수정 또는 폐기 할수 있다. 단, 인준에 앞서 LWV 회칙과 부합 여부를 타진하기 위해 레크리에이션 부처에 참조를 의뢰한다. ARTICLE XII CONDOLENCE FOR THE BEREAVED 제 12 장. 유가족을 위한 조의 Section 1. Bereavement Offer: Upon the death of a club member, the club banner will be presented at the funeral service for the deceased. 제 1 조. 조의금: 회원의 사망시 고인의 장례식에 한인회를상징하는 기 (벤어)로 조의를 표한다. ARTICLE XIII ADVERTISING COMMERCIALS(Disclaimer) 제 13 장 한인회 주소록 광고 와 기증 Section 1. Advertising fees in KAC Directory Hand Book shall be set by the board of directors on annual basis and renewable per new terms and condition. We have right and replace contents accordingly. Section 2. KAC welcomes all the donations to help the club activities and support without any limitation and discrimination. 제 1 조. 한인회 주소록에 올릴 광고비는 그 기간과 조건을 매년 이사회에서 결정한다. 이사진은 광고의 내용를 검토하고 대치할 권한이 있다 제 2 조. 한인회는 회원의 모든 활동과 도움에 필요한 기증을 제한과 차별이 없이 대환영한다. 끝 **********정관에 파란(blue) 글로 쓴 부분이 새로 첨가 개정된 부분입니다 Page 6 of 6
