5 대한민국(이하 한국 ) 및 브루나이 다루살람, 캄보디아 왕국, 인도네시아 공화국, 라오 인민민주공화국, 말레이시아, 미얀마 연방, 필리핀 공화국, 싱가 포르 공화국, 타이왕국 및 베트남 사회주의 공화국으로 구성된 동남아국가연합 회원국(이하 아세안 회원국 )의 정상들은 1989년 이래 지속된 대화 협력관계와 2004년 11월 30일 라오 인민민주공화국 비엔티엔에서의 포괄적 협력관계 선언으로 가속화된 한국과 아세안 회원국간의 굳건한 유대관계를 확인하고, 말레이시아 쿠알라룸푸르에서 한국 정부와 아세안 회원국 정부간에 체결된 포 괄적 경제협력 기본협정이 한-아세안 센터 설립 타당성 조사를 포함한 무역 및 투자 증진을 위해 협력하도록 협정 당사국들에 촉구한 것을 주목하며, 한-아세안간 경제 및 사회 문화 관계 증진을 위한 센터를 설립하기로 하고 2007년 1월 14일 필리핀 세부에서 개최된 제10차 한-아세안 정상회의가 이를 승인 한 사실을 재확인하고, 한국과 아세안 회원국간 무역규모 및 투자 증대가 상호 이익이 될 것임을 인식하며, 인적교류 및 문화교류를 통한 상호 이해의 증진이 매우 중요하다는 점에 입 장을 같이 하면서, 다음과 같이 합의하였다. 제 1 조 설립과 소재 1. 한국과 아세안 회원국들은 한-아세안 센터(이하 센터)라는 기관을 설립한 - 3 -

6 - 4 - 다. 센터는 한국어로 한-아세안 센터 라고 칭한다. 2. 센터의 본부는 한국의 서울에 위치한다. 센터의 지부는 장래 한국내 다른 지역 및 아세안 회원국내에 설치할 수 있다. 제 2 조 목적 센터의 목적은 한국과 아세안 회원국간 무역규모의 증대, 투자의 촉진, 관광 활성화 및 문화교류 확대에 있다. 제 3 조 회원국 자격 한국과 아세안 회원국들은 제25조에 따라 이 양해각서의 당사국이 됨으로 써 센터의 회원국이 된다. 제 4 조 활동 센터는 그 목적 달성을 위하여, 다음의 활동을 수행한다. 가. 한국 내에서 아세안 회원국의 사업기회 및 관광자원의 소개 홍보 및 알선 나. 한국과 아세안 간 무역 및 투자 연계의 촉진 및 사업 기회의 활성화, 특히 한국내 현지사업파트너를 구하는 투자자와 기업의 지원

7 다. 한국과 아세안 회원국간 무역 투자 관광 문화 분야 교류의 강화 및 이 와 관련하여 유용한 정보 교환 통로로서의 역할 담당 라. 무역 투자 관광 문화에 관한 연구 수행 마. 라목에서 언급한 연구 결과를 포함하여 무역 투자 관광 문화교류 관련 정보의 회원국 및 적절한 경우 관련 단체 및 개인에 대한 제공 바. 세미나, 워크샵, 무역박람회, 전시회 및 투자 관계의 촉진 등 센터의 목 적에 부합하는 적절한 행사의 개최 사. 필요시 무역 투자 관광 문화교류 관련 기술이전을 포함한 기술협력 촉진 아. 무역 투자 관광 문화교류 분야에서 회원국 정부 및 관련 지역 국제기 구와의 긴밀한 협력 유지 자. 센터의 목적 달성에 필요한 기타 활동의 수행 차. 아세안의 개발격차 감소를 위한 제안 및 프로그램의 지원 제 5 조 조직 1. 센터에 이사회, 집행위원회, 사무국을 둔다. 2. 센터는 이사회의 승인으로 자문기구를 둘 수 있다. 제 6 조 - 5 -

8 - 6 - 이사회 1. 이사회는 이사로 구성한다. 각 회원국은 이사회에서 자국을 대표하는 이 사 1인을 임명한다. 2. 이사회는 이사 중 1인을 의장으로 지명한다. 의장의 임기는 1년으로 한다. 3. 이사회 의장과 사무총장은 동일 국적자가 되지 아니한다. 4. 이사회는 센터의 최고 기관으로서 이 양해각서의 다른 조항에 명시된 것 외 에, 다음의 권한 및 기능을 행사한다. 가. 센터의 운영과 관련하여 운영계획 및 업무 프로그램의 결정 나. 운영계획 및 업무 프로그램 범위 내에서 센터의 연간 업무 프로그램, 수입 및 지출 예산의 승인 다. 센터 운영에 관한 연간 보고서의 승인 라. 양해각서 부속서에 따른 사무총장의 임명 마. 사무총장 임명 조건의 승인 바. 의장에 대한 특별 기능의 부여 사. 집행위원회에 위임하는 권한과 기능의 결정 아. 제10조 5항에 따른 지원 수용의 승인 자. 제24조 제1항 및 제2항에 따른 이 양해각서 개정의 검토 및 채택 차. 센터의 해산 또는 해산 관련 기타 문제 발생시, 센터의 재산 및 자산의 처분 결정 카. 이사회 자체 운영 규칙의 채택 타. 센터 관련 기타 주요 사안의 결정 및 승인 5. 이사회는 연례 회의를 개최하며, 이사회의 결정에 따라 기타 회의를 개최한다. 또한, 이사회는 의장의 승인 또는 이사회 과반수의 요청시, 사무총장의 요구에 따라 회 의를 개최한다.

9 6. 이사회는 컨센서스를 통해 결정한다. 제 7 조 집행위원회 1. 집행위원회는 각 회원국이 임명한 집행위원으로 구성된다. 각 회원국 은 1인의 집행위원을 임명한다. 집행위원의 임기는 3년으로 하며, 연임 가능하 고, 필요시 한국내 아세안 회원국의 외교관으로 교체될 수 있다. 2. 집행위원회는 자체의 위원장을 선출한다. 위원장의 임기는 3년으로 한다. 3. 집행위원회는 센터의 효율적인 운영을 위해 사무국 활동을 감독하고 이사회 의 결정이 효율적으로 집행되도록 하며, 협정의 다른 조항들에 명시된 권한과 기능외에 이사회가 위임한 권한 및 기능을 수행한다. 집행위원회는 필요시 사무 총장에게 자문할 수 있다. 4. 집행위원회는 이사회에 보고한다. 5. 집행위원회는 연1회 이상 소집된다. 6. 집행위원회는 필요시 위원회의 권한 및 기능 범위 내 다양한 분야의 사안에 대해 임시 위원회를 설치할 수 있다. 7. 집행위원회는 컨센서스를 통해 결정한다. 제 8 조 사무국 - 7 -

10 사무국은 회원국 국적자인 사무총장 및 직원으로 구성된다. 2. 사무총장은 최고 책임자로서 센터를 대표하며, 이사회 및 집행위원회에 책 임을 진다. 3. 사무총장의 임기는 3년이며 중임할 수 있다. 그러나, 사무총장은 이사회의 결정이 있는 때에는 해임된다. 4. 사무총장은 이 양해각서가 명시적으로 부여하는 권한 행사외에 집행위원 회의 감독과 조언에 따라 연간 업무 프로그램과 예산의 집행 및 이사회의 결정 사항들의 이행을 감독한다. 5. 특히, 사무총장은 연례 이사회의 승인을 위해 연간 업무프로그램안, 연간 예산안 및 연간 사업 보고서를 준비한다. 6. 사무총장은 부여된 권한 및 기능 행사를 위해 이사회의 승인을 받아 적절 한 부서(과)를 설치한다. 각 과의 업무는 이 양해각서의 부속서에 따른다. 7. 각 과장은 사무총장의 지명에 따라 집행위원회가 임명한다. 기타 사무국 직원들은 사무총장이 임명한다. 8. 직원들의 고용 조건은 이사회가 승인한 직원 규칙에 규정한다. 제 9 조 공식 언어 센터의 공식 언어는 영어로 한다.

11 제 10 조 재정 1. 회원국들은 센터 운영에 필요한 합의된 금액을 자국의 법률 및 규정에 따라 지원한다. 2. 한국이 부담하는 비용은 다음과 같다. 가. 한국 영토 내 센터 사무실의 임차료 나. 한국 국적 직원 고용에 소요되는 급여, 보험료 등 기타 비용 다. 센터가 한국 영토 내에서 정규 기능을 수행하는 데 필요한 기타 비용 3. 아세안 회원국은 아세안 회원국 국적 직원 고용에 소요되는 급여, 보험료 등 기타 비용을 부담한다. 4. 제2항 및 제3항에 언급되지 아니한 센터 기능 수행을 위함 비용은 이사 회의 결정 비율에 따라 회원국이 부담한다. 5. 센터는 이사회의 승인에 따라 비회원국 및 기구로부터의 무상 지원을 수령 할 수 있다. 제 11 조 법인격 센터는 법인격 및 다음의 능력을 보유한다. 가. 계약 체결권 나. 동산 부동산의 취득 및 처분권 다. 제소권 - 9 -

12 제 12 조 특권과 면제 1. 센터와 그 직원들은 한국 영토 내에서 센터의 목적달성 및 기능수행에 필요하 고 적절한 것으로 간주되는 특권과 면제를 제13조 내지 제19조 규정에 따라 향유한 다. 2. 센터의 지부가 다른 지역에 설립될 경우, 센터는 이사회의 승인에 따라 한국 외 여타 회원국들과 특권과 면제 관련 협정을 체결할 수 있다. 3. 회원국들은 동 협정의 체결 전 자국 법률 및 규정에 부합하는 범위 내에 서, 센터의 적절한 운영에 필요한 특권과 면제를 인정해야 한다. 제 13 조 재산, 기금 및 자산 1. 센터의 재산과 자산은 센터가 명시적으로 면제를 포기하지 않는 한 법정 소송절차로부터 면제된다. 단, 민사 또는 행정소송절차에 관한 관할로부터의 어 떠한 면제 포기도 별도의 면제포기를 요하는 판결 집행에 대한 면제 포기를 의 미하지 아니한다. 2. 동 조의 규정은 계약에 따른 분쟁 및 차량에 의한 손해 관련 민사소송절차 에는 적용되지 않는다. 3. 센터의 문서고 및 기타 센터 소유의 공문서는 불가침으로 한다. 사무국 직 원들의 사문서는 공문서와 분리하여 보관한다.

13 4. 센터는 어떠한 재정적 통제, 규칙 또는 유예 조치의 제한없이, 가. 펀드와 통화를 보유하고, 어떠한 통화의 구좌도 운용할 수 있으며, 나. 한국내 보유 펀드와 통화를 자유로이 해외 및 국내에 송금할 수 있으 며, 보유 통화를 다른 통화로 환전할 수 있다. 5. 제4항의 권리를 행사함에 있어, 센터는 한국의 국내법을 존중하고, 한국이 제기한 문제가 센터의 이익에 반하지 않는 한 이를 존중한다. 6. 센터의 자산, 수입 및 기타 재산은 가. 공공요금을 제외한 모든 직접세로부터 면제되고, 나. 센터에 의해 공용 목적으로 수입 또는 수출되는 물품에 대한 금지 제 한으로부터 면제된다. 단, 면제를 받고 수입된 물품들은 한국측과 합의 된 경우외에는 한국내에서 판매되어서는 아니된다. 다. 공용 목적으로 수입 또는 수출되는 출판물에 대해서도 관세 및 수출입 금지 제한으로부터 면제된다. 7. 일반적으로 센터는 동산과 부동산의 매매가격을 구성하는 소비세 및 제세로 부터 면제되지 않으나, 센터가 공용 목적으로 그러한 관세와 조세가 부과되는 중요 재산을 구매하는 경우 한국은 가능한 한 세금액의 면세 또는 환급을 위한 적절한 행정적 조치를 취할 수 있다. 제 14 조 홍보물품 한국은 관련 법규에 따라 아세안 회원국으로부터 전시 목적의 물품과 자재의 수입, 그리고 필요한 경우 무료 견본으로 제공되는 물품과 자재의 배포와 관련하여 무 관세 통관, 제반 편의 및 협조를 제공한다. 또한, 한국은 관련 법규에 따라, 동 물

14 품과 자재의 이후 판매에 대해서도 편의 및 협조를 제공한다. 제 15 조 통신 편의 공용 목적의 통신에 있어, 한국이 당사국인 국제 협정, 규정 및 합의와 양립 하는 한, 센터는 한국의 영토 내에서 우편과 전기통신의 우선순위, 요금 및 조세 와 관련하여 한국이 여타 국제기구에 제공하는 대우보다 불리한 대우를 받지 아 니한다. 제 16 조 사무국 직원들의 특권과 면제 1. 사무국 직원들은 가. 센터에서 수령한 급여 및 소득에 대한 조세가 면제되고, 나. 본인, 배우자 및 부양가족에 대한 입국 통제, 외국인 등록 및 국가 봉사 의무에서 제외되고, 다. 센터에 최초 부임시 본인과 가족 사용 목적의 가구 및 가정용품을 면세 로 수입할 수 있고, 라. 편의시설 교환에 있어 한국 내 여타 국제기구 소속 동등 지위의 직원 들과 비교하여 불리한 대우를 받지 아니한다. 2. 한국은 한국 국적자 내지 영주권 보유자에 대해서는 제1항의 특권과 면제 를 부여할 의무가 없다. 3. 특권과 면제의 부여는 개인적 이익이 아닌 센터의 이익을 목적으로 부여된 다. 따라서, 집행위원회는 해당 면제가 정의의 실현을 저해하고 센터의 이익에

15 반하지 아니하게 포기될 수 있다고 판단하는 경우 사무총장의 권고를 받아 직원 의 면제를 포기할 권리와 의무를 갖는다. 이사회는 필요시 사무총장에게 부여 된 면제를 포기할 권리와 의무를 갖는다. 4. 이 조의 규정은 사무총장, 고위 직원 및 이사회가 결정하는 범위의 직원 에 적용된다. 사무총장은 이들 직원의 성명, 직책 및 주소를 회원국에 통보한다. 제 17 조 입국 1. 한국은 공무로 입국하는 다음 인사들에 대해 편의를 제공한다. 가. 제6조 및 제7조 규정 회의에 참가하는 다른 회원국의 이사, 집행위원 및 그 배우자 나. 사무총장, 기타 사무국 직원, 그 배우자 및 부양가족 다. 기타 센터 초청 인사 2. 제1항은 상기 인사들이 한국의 입국 관련 국내법의 적용으로부터 면제 됨을 의미하지 아니한다. 제 18 조 특권 남용 1. 센터는 이 양해각서에서 부여된 특권, 면제 및 편의제공에 대한 남용방지 를 위해 한국의 관련 기관과 협조한다. 2. 한국이 이 양해각서에서 부여된 특권 또는 면제의 남용이 있었다고 판단 할 경우, 한국과 센터간 협의를 통해 남용의 실제발생 여부를 결정하며, 실제 발

16 생시 재발 방지조치를 취해야한다. 제 19 조 분쟁 해결 센터는 다음 분쟁에 대한 적절한 해결 규정을 마련한다. 가. 제13조 제1항 규정 분쟁외 센터가 일방 당사자인 민사 소송 나. 이 양해각서에 따라 면제를 향유하는 사무국 직원 관여 분쟁으로서, 동 면제가 제16조 제3항에 따라 포기되지 아니한 경우 제 20 조 회원국간 분쟁의 해결 이 양해각서 규정의 해석, 실행 내지 적용에 따라 발생하는 회원국간 분쟁은 제3자 또는 국제재판소의 관여없이 외교경로를 통한 회원국간 상호협의 및 협 상을 통해 우호적으로 해결되어야 한다. 제 21 조 지적재산권의 보호 1. 회원국의 지적재산권 보호는 각 회원국의 국내법 및 규정에 따른다. 각 회원국은 자국이 당사자인 지적재산권 보호 관련 국제협약 규정을 재확인한다. 2. 센터가 회원국의 명시적인 사전 동의없이 이 양해각서에 따라 작성된 출 판물, 자료 및 문서에 회원국의 명칭, 로고 및 공식 문장을 사용하는 것은 금지된다.

17 3. 제1항에도 불구, 회원국이 단독 및 독자적으로 개발한 기술, 상품 및 서비스 발전에 대해서는 당 회원국이 지적재산권을 보유한다. 2개국 이상의 회원국이 동 양해각서에 따라 행동할 경우 회원국은 동 행동으로부터 발생할 수 있는 지 적재산권 관련 문제, 예컨대 동 행동에 따라 발생 가능한 지적재산권에 대한 소 유권 문제를 고려해야 한다. 제 22 조 기밀 1. 각 회원국은 이 양해각서 또는 이 양해각서에 의거하여 체결된 협약 에 따라 다른 회원국으로부터 수령 또는 다른 회원국에 제공한 문서, 정보 기 타 자료의 기밀을 유지해야 한다. 2. 이 조의 규정은 양해각서로부터의 탈퇴 또는 그의 종료에 관계없이 회원 국에 적용된다. 제 23 조 탈퇴 1. 회원국은 언제라도 탈퇴의사를 다른 회원국에 전달되는 서면으로 아세안 사무 국에 통보함으로써 본 양해각서에서 탈퇴할 수 있다. 2. 탈퇴 신청 회원국은 탈퇴신청 제출시의 회계년도 말까지 의무를 진다. 탈퇴 신청 회원국은 센터에 대한 모든 재정적 의무를 청산해야 한다

18 제 24 조 개정 1. 회원국은 이 양해각서의 개정을 제의할 수 있다. 개정안은 사무총장을 통해 각 이사회의 검토 6개월 전까지 각 회원국에 제출된다. 단, 본 양해각서의 부속서 개정안은 이사회의 검토 3개월 전까지 회원국들에 제출할 수 있다. 2. 이 양해각서의 개정은 이사회의 채택과 전 회원국의 동의로 발효한다. 3. 회원국들이 동의한 양해각서의 개정은 아세안사무국에 수락 동의서를 기탁 한 말일에 발효한다. 제 25 조 서명, 비준 및 수락 이 양해각서는 한국과 아세안 회원국들의 서명을 위해 개방되고, 서명국의 비준 과 수락을 요한다. 제 26 조 발효 이 양해각서는 한국과 전 아세안 회원국이 비준서 또는 수락 동의서를 기탁한 날로부터 30일 후에 발효하고, 제27조에 따라 종료되는 시점까지 효력을 갖는다.

19 제 27 조 종료 이 양해각서는 한국 또는 아세안 회원국 과반수의 탈퇴로 종료될 수 있다. 탈퇴로 인한 종료는 탈퇴 당시 회계년도 말부터 효력을 발생한다. 제 28 조 기탁 1. 서명 후 이 양해각서 원본은 한국 외교통상부 및 아세안 사무국에 기탁 된다. 아세안 사무총장은 신속하게 각 아세안 회원국에 부본을 발송한다. 2. 제25조항에 언급된 비준서 또는 수락동의서는 아세안 사무국에 기탁된다. 제 29 조 정지 각 회원국은 국가안보, 국가이익, 공공질서 또는 공중보건상의 이유로 본 양 해각서의 전체 또는 부분의 이행을 일시적으로 정지하는 권한을 유보한다. 양해 각서의 정지는 외교 경로를 통해 다른 회원국에 통보된 직후 효력이 발생한다. 이상의 증거로 정당하게 권한을 부여받은 아래 대표자들이 이 양해각서에 서명하였다. 2007년 11월 21일 싱가포르에서 영어로 2부 작성하였다

22 부속서 제 1 조 동 부속서는 이 양해각서 제8조에 따라 사무총장의 임명, 사무국의 구성 및 업무에 관한 규칙과 규정을 정함을 목적으로 한다. 제 2 조 사무총장의 임명 1. 사무총장은 전임 사무총장 임기만료 3개월 전에 지명된다. 단, 본항은 초대 사무총장에는 적용되지 않는다. 2. 사무총장 지원자는 회원국 국민으로서, 영어에 능통하고, 다음 요건 중 하나 이상에 해당해야 한다. 가. 국제기구의 D2 또는 P5급 이상 직위에서의 3년 이상 경력자 나. 회원국 정부의 국장급 이상 또는 건실한 회사의 전무이사급 이상 직위의 3년 이상 경력자 다. 정치학, 국제관계학, 국제법 또는 관련 분야 박사 학위 내지 상당 자격 소지자 로서 관련 분야 7년 이상 경력자 라. 정치학, 국제관계학, 국제법 또는 관련 분야 석사 학위 내지 상당 자격 소지자로서 관련 분야 10년 이상 경력자 3. 회원국은 사무총장 지원자 면접위원(이하 면접위원)에 각 1인을 임명한다. 집행위원회는 면접위원회로 기능할 수 있다. 4. 집행위원회는 제3항 규정 면접의 최고득점자 1인을 이사회에 추천한다. 이 사회는 중대한 결격사유 부재시 동인을 차기 사무총장으로 지명한다.

26 MEMORANDUM OF UNDERSTANDING ON ESTABLISHING THE ASEAN KOREA CENTRE BETWEEN THE REPUBLIC OF KOREA AND THE MEMBER COUNTRIES OF THE ASSOCIATION OF SOUTHEAST ASIAN NATIONS

27 The Republic of Korea (hereinafter referred to as the ROK ) and the Member Countries of the Association of Southeast Asian Nations (hereinafter referred to as the ASEAN Member Countries ) comprising Brunei Darussalam, the Kingdom of Cambodia, the Republic of Indonesia, the Lao People s Democratic Republic, Malaysia, the Union of Myanmar, the Republic of the Philippines, the Republic of Singapore, the Kingdom of Thailand and the Socialist Republic of Viet Nam; ACKNOWLEDGING the strong bond between the ASEAN Member Countries and the ROK, accelerated by the Dialogue Partnership since 1989 and by the Comprehensive Partnership declared on 30 November 2004 in Vientiane, Lao People s Democratic Republic; NOTING the Framework Agreement on Comprehensive Economic Cooperation Among the Governments of the Republic of Korea and the Member Countries of the Association of Southeast Asian Nations done in Kuala Lumpur, Malaysia, which called on the parties to cooperate in promoting trade and investment through measures including a feasibility study on the establishment of an ASEAN Korea Centre; REITERATING their commitment to the establishment of a Centre to promote ASEAN ROK economic and socio cultural relations, which was endorsed at the Tenth ASEAN ROK Summit of 14 January 2007 in Cebu, the Philippines; RECOGNIZING that an increase in trade volume and investment flow between the ASEAN Member Countries and the ROK will be mutually beneficial; SHARING the view that the promotion of mutual understanding through people to people contact and cultural exchange is of vital importance; HAVE AGREED AS FOLLOWS:

28 ARTICLE 1 Establishment and Location 1. The ASEAN member countries and the ROK hereby establish an institution known as the ASEAN Korea Centre (hereinafter referred to as the Centre ). In the Korean language, the Centre shall be referred to as the 한 아세안 센터. 2. The headquarters of the Centre shall be located in Seoul. Its affiliate centres may be established in ASEAN Member Countries as well as other parts of the ROK in the future. ARTICLE 2 Purpose The purpose of the Centre is to increase trade volume, accelerate investment flow, invigorate tourism, and enrich cultural exchanges between the ASEAN Member Countries and the ROK. ARTICLE 3 Membership The ASEAN Member Countries and the ROK shall become Members of the Centre (referred to in this Memorandum of Understanding (MOU) as Centre Members ) by becoming parties to this MOU in accordance with Article 25. ARTICLE 4 Activities To achieve its purpose, the Centre shall undertake the following activities: (a) to introduce, publicize and promote in the ROK, business opportunities and tourism resources available in ASEAN Member Countries;

29 (b) to promote trade and investment linkages and facilitate business opportunities between ASEAN and the ROK, especially assisting investors and companies seeking local business partners in the ROK; (c) to serve as a channel for useful exchanges of information relevant to the enhancement of trade, investment, tourism and cultural exchanges between the ASEAN Member Countries and the ROK; (d) to conduct research and studies on trade, investment, tourism and culture; (e) to provide Centre Members, as well as related organizations and persons where appropriate, with information on trade, investment, tourism, and cultural exchanges, including results of the research and studies mentioned in subparagraph (d); (f) to hold appropriate events serving the purpose of the Centre, including seminars or workshops, trade fairs and exhibitions and promotion of investment relations; (g) to facilitate, where necessary, technical cooperation including the transfer of technology related to trade, investment, tourism and cultural exchanges; (h) to maintain close cooperation in the fields of trade, investment and tourism with the Governments of the Centre Members and relevant regional and international organizations; (i) to undertake other activities as may be deemed necessary to achieve the purpose of the Centre; and (j) to support initiatives and programs related to narrowing the development gap in ASEAN. ARTICLE 5 Organization 1. The Centre shall consist of a Council, an Executive Board and a Secretariat

30 The Centre may establish an advisory body by approval of the Council. ARTICLE 6 Council 1. The Council shall consist of Directors. Each Centre Member shall appoint one Director who shall represent such Centre Member on the Council. 2. The Council shall designate one of the Directors as Chairperson. The Chairperson shall hold office for a term of one year. 3. The Chairperson of the Council and the Secretary General shall not be nationals of the same Centre Member. 4. The Council shall be the supreme organ of the Centre and shall exercise, in addition to the powers and functions specified in other provisions of this MOU, the powers and functions to: (a) (b) (c) (d) (e) (f) (g) (h) (i) decide on the plan of operation and work program concerning the operation of the Centre; approve the annual work program and the budget of revenues and expenditures of the Centre within the framework of the plan of operation and work program; approve the annual report on the operation of the Centre; appoint the Secretary General in accordance with the Annex of this MOU ; approve the terms and conditions for the appointment of the Secretary General; assign special functions to the Chairperson; determine the powers and functions to be entrusted to the Executive Board; approve the acceptance of assistance referred to in Article 10, Paragraph 5; consider and adopt amendments to this MOU in accordance with the provisions of Article 24, Paragraphs 1 and 2;

31 (j) (k) (l) decide on the disposal of the property and assets of the Centre in the case of the dissolution of the Centre, and on any other matters connected with the dissolution; adopt its own rules of procedures; and decide on and/or approve other important matters concerning the Centre. 5. The Council shall hold an annual meeting and such other meetings as may be decided by the Council. The Council shall also hold a meeting whenever called by the Secretary General with the approval of the Chairperson of the Council or at the request of a majority of the Directors. 6. All the decisions of the Council shall be made by consensus. ARTICLE 7 Executive Board 1. The Executive Board shall consist of representatives appointed by Centre Members. Each Centre Member shall appoint one representative. The representatives shall hold office for a renewable term of three years and, where necessary, can be substituted by the diplomats of the respective ASEAN Member Countries in the ROK. 2. The Executive Board shall elect its own Chairperson. The Chairperson shall hold office for a term of three years. 3. In order to ensure the effective operation of the Centre, the Executive Board shall supervise the activities of the Secretariat so that the decisions of the Council are effectively implemented and shall exercise, in addition to the powers and functions specified in other provisions of this MOU, such powers and functions as may be entrusted to it by the Council. The Executive Board may advise the Secretary General as it may deem necessary. 4. The Executive Board shall report to the Council. 5. The Executive Board shall convene at least once a year. 6. The Executive Board may establish, when necessary, ad hoc committees on

32 matters in various fields which fall within the purview of its powers and functions. 7. All the decisions of the Executive Board shall be made by consensus. ARTICLE 8 Secretariat 1. The Secretariat shall consist of a Secretary General and staff who are nationals of the Centre Members. 2. The Secretary General shall represent the Centre as its chief executive and shall be responsible to the Council and the Executive Board. 3. The term of office of the Secretary General shall be three years and he/she may be reappointed. He/she shall, however, cease to hold office when the Council so decides. 4. The Secretary General shall, in addition to exercising the powers assigned to him/her under this MOU, supervise the execution of the annual work program and the annual budget as well as the implementation of the decisions of the Council under the supervision and advice of the Executive Board. 5. The Secretary General shall prepare, inter alia, the draft annual work program, the annual budget estimate, and the annual report for presentation at the annual meeting of the Council for its approval. 6. The Secretary General shall establish appropriate Units approved by the Council to carry out the powers and functions assigned to him/her. The duties of each Unit shall be described in the Annex to this MOU. 7. The Heads of Units shall be appointed by the Executive Board upon nomination by the Secretary General. Other personnel of the Secretariat shall be appointed by the Secretary General. 8. The terms and conditions of employment of the members of staff shall be set out in staff regulations approved by the Council.

33 ARTICLE 9 Official Language The official language of the Centre is English. ARTICLE 10 Finance 1. Centre Members will contribute to the Centre, in accordance with their respective national laws and regulations, an agreed amount of money necessary for the operation of the Centre. 2. The expenses borne by the ROK shall be as follows: (a) (b) (c) the rent of the office(s) occupied by the Centre in the territory of the ROK; the wages, insurance fees and other expenses necessary to hire staff who are nationals of the ROK; and other expenses required for the Centre to execute its regular functions performed in the territory of the ROK. 3. The expenses borne by the ASEAN Member Countries shall be the wages, insurance fees and other expenses necessary to hire staff who are nationals of the ASEAN Member Countries. 4. The expenses necessary for the Centre to carry out functions, projects and other activities not mentioned in Paragraphs 2 and 3 shall be borne by the Centre Members in a proportion to be decided by the Council. 5. The Centre may, with the approval of the Council, accept assistance on a grant basis from non Centre Member countries and organizations. ARTICLE 11 Juridical Personality

34 capacities: The Centre shall possess juridical personality. It shall have the following (a) (b) (c) to enter into contracts; to acquire and dispose of movable and immovable property; and to institute legal proceedings. ARTICLE 12 Privileges and Immunities 1. The Centre and its officials shall enjoy, in the territory of the ROK, privileges and immunities as deemed necessary and appropriate for the exercise of their functions and the fulfillment of the purposes of the Centre in accordance with the provisions of Articles 13 through The Centre may conclude, with one or more Centre Members other than the ROK, agreements on privileges and immunities which shall be approved by the Council if affiliate centres are to be established elsewhere. 3. Pending the conclusion of such agreements, Centre Members shall grant, to the extent consistent with their respective national laws and regulations, such privileges and immunities as may be necessary for the proper operation of the Centre. ARTICLE 13 Property, Funds and Assets 1. The Centre, its property and assets shall enjoy immunity from proceedings in legal courts except where it has expressly waived its immunity. Any waiver of immunity from jurisdiction in respect of civil or administrative proceedings shall not be held to imply waiver of immunity in respect of the execution of the judgement, for which a separate waiver shall be necessary. 2. The provisions of this Article shall not apply in the case of civil proceedings relating to disputes arising out of contracts and out of damage caused by vehicles.

35 3. The archives of the Centre and in general all official papers and documents belonging to the Centre shall be inviolable. Private papers belonging to Secretariat officers and staff shall be stored separately from official papers and documents. kind, 4. Without being restricted by financial controls, regulations or moratoria of any (a) (b) the Centre may hold funds or currency of any kind and operate accounts in any currency; the Centre may freely transfer its funds or currency to and from the ROK, or within the territory of the ROK, and convert any currency held by it into any other currency. 5. In exercising the rights as mentioned above in Paragraph 4, the Centre shall comply with the national laws of the ROK, and shall pay due regard to any representation made by the ROK in so far as it is considered that effect can be given to such representation without detriment to the interests of the Centre. 6. The Centre, its assets, income and other property shall be: (a) (b) (c) exempt from all direct taxes except those which are, in fact, no more than charges for public utility services; exempt from customs duties and from prohibitions and restrictions on imports and exports in respect of articles imported or exported by the Centre for its official use. It shall be understood, however, that articles imported under such exemption shall not be sold in the ROK except under conditions agreed upon with the ROK; and exempt from customs duties and prohibitions and restrictions on imports and exports in respect of the publications imported or exported by the Centre for its official use. 7. While the Centre will not, as a general rule, claim exemption from excise duties and from taxes on the sale of movable and immovable property which form part of the price to be paid, nevertheless, when the Centre is making important purchases for official use of property on which such duties and taxes have been charged, the ROK may, whenever possible, make appropriate administrative arrangements for the remission or return of the amount of duty or tax

36 ARTICLE 14 Promotional Goods and Materials The ROK shall, in accordance with its relevant laws and regulations, offer duty free entry and every facility and assistance in the import of goods and materials of ASEAN Member Countries for promotional display and, where appropriate, for subsequent distribution of such goods and materials as free samples. The ROK shall also, in accordance with its relevant laws and regulations, offer its facilities and assistance in the subsequent sale of such goods and materials. ARTICLE 15 Facilities in respect of Communications In regard to its official communications, the Centre shall, in the territory of the ROK, and in so far as may be compatible with any international conventions, regulations and arrangements to which the ROK is a party, enjoy treatment not less favorable than that accorded by the ROK to any other international organization in the matter of priorities, rates and taxes for postal services and telecommunications. ARTICLE 16 Privileges and Immunities of Secretariat Officials 1. The officials of the Secretariat shall: (a) (b) (c) (d) be exempt from taxation on the salaries and emoluments paid to them by the Centre; be immune, together with their spouses and relatives dependent on them, from immigration restrictions, alien registration and national service obligations; have the right to import free of duty furniture and household goods for personal use by themselves and their families at the time of first taking up their post at the Centre; and be accorded, in respect of exchange facilities, treatment not less favorable than that accorded to officials of comparable rank of any other international organizations posted in the ROK.

37 2. The ROK shall not be obliged to accord the privileges and immunities referred to in Paragraph 1 of this Article to officials who are nationals or permanent residents of the ROK. 3. Privileges and immunities are accorded to officials in the interests of the Centre only, and not for their personal benefit. Consequently, the Executive Board, upon recommendation by the Secretary General, has the right and duty to waive the immunity of any official in any case where, in its opinion, the immunity would impede realization of justice, and can be waived without prejudice to interests of the Centre. The Council has the right and duty to waive the immunity accorded to the Secretary General as and when necessary. 4. The officials of the Secretariat, to which the provisions of this Article apply, shall be the Secretary General, senior officials and other officials from categories which shall be determined by the Council. The Secretary General shall notify the Centre Members of the names, titles, and addresses of those officials. ARTICLE 17 Entry 1. The ROK will facilitate the entry into its territory of the following persons visiting its territory on official missions: (a) (b) (c) directors and representatives of the other Centre Members participating in the meetings prescribed in Articles 6 and 7, together with their spouses; the Secretary General and other officials of the Secretariat, together with their spouses and relatives dependent on them; and other persons invited by the Centre. 2. The provisions of Paragraph 1 do not mean that the persons mentioned in that Paragraph are exempt from complying with national laws of the ROK relating to entry matters

38 ARTICLE 18 Abuse of Privileges 1. The Centre shall cooperate at all times with the appropriate authorities of the ROK to prevent the occurrence of any abuse in connection with the privileges, immunities and facilities conferred by this MOU. 2. If the ROK considers that there has been an abuse of a privilege or immunity conferred by this MOU, consultations shall be held between the ROK and the Centre to determine whether any such abuse has occurred and, if so, to ensure that no repetition of such abuse occurs. ARTICLE 19 Settlement of Disputes The Council shall make provisions for appropriate modes of settlement of: (a) (b) disputes of a private law character to which the Centre is a party other than those referred to in Article 13, Paragraph 1; and disputes involving any official of the Secretariat who enjoys immunity under the provisions of this MOU, on the condition that immunity has not been waived in accordance with Article 16, Paragraph 3. ARTICLE 20 Settlement of Disputes between Centre Members Any disputes or differences between Centre Members arising out of the interpretation and/or implementation and/or application of any of the provisions of this MOU shall be settled amicably through mutual consultations and/or negotiations between Centre Members through diplomatic channels, without reference to any third party or international tribunal. ARTICLE 21 Protection of Intellectual Property Rights

39 1. The protection of intellectual property rights of each Centre Member shall be carried out in conformity with the respective national laws and regulations of such Centre Member. Each Centre Member reaffirms the provisions of international agreements relating to intellectual property to which it is a party. 2. The use by the Centre of the name, logo and/or official emblem of any of the Centre Members on any publication, document and/or paper developed pursuant to this MOU is prohibited without the prior written approval by that Centre Member. 3. Notwithstanding anything contained in Paragraph 1 above, a Centre Member shall own the intellectual property rights in respect of any technological development, and any products and services development, which were solely and separately developed by that Centre Member. When two or more of the Centre Members carry out any activity pursuant to this MOU, such Centre Members shall consider intellectual property issues that may arise in connection with the said activity, for instance, the ownership of intellectual property rights to any inventions that might arise from the said activity. ARTICLE 22 Confidentiality 1. Each Centre Member shall observe the confidentiality and secrecy of documents, information and other data received from or supplied to another Centre Member pursuant to this MOU or any other agreement made under this MOU. 2. The provisions of this Article shall continue to apply to the Centre Members regardless of their withdrawal from, or their termination of, this MOU. ARTICLE 23 Withdrawal 1. Any Centre Member may at any time withdraw from this MOU by giving a written notification to the ASEAN Secretariat to be communicated to the other Centre Members

40 The Centre Member applying for withdrawal shall be bound by its obligations until the end of the fiscal year during which the application for withdrawal is submitted. It shall also settle any other financial dues it owes to the Centre. ARTICLE 24 Amendments 1. Any Centre Member may propose amendments to this MOU. A proposed amendment shall be communicated to the Secretary General who shall communicate it to the other Centre Members at least six months in advance of its consideration by the Council. Nevertheless, the amendments to the Annex of this MOU may be communicated to the Centre Members at least three months prior to the consideration by the Council. 2. Amendments to this MOU shall be adopted by the Council and shall come into force upon their acceptance by the Centre Members. 3. Amendments accepted by the Centre Members shall enter into force upon the date of the last deposit of the instruments of acceptance with the ASEAN Secretariat. ARTICLE 25 Signature, Ratification and Acceptance This MOU shall be open for signature by the ROK and the ASEAN Member Countries. It shall be subject to ratification or acceptance by the Signatories. ARTICLE 26 Entry into Force This MOU shall enter into force 30 days after the date of the last deposit of the instruments of ratification or acceptance by all ASEAN Member Countries and the ROK. It shall remain in force until it is terminated under Article 27 of this MOU.

41 ARTICLE 27 Termination This MOU may be terminated by the withdrawal of the ROK, or the withdrawal of more than half of the ASEAN Member Countries, from this MOU. Such termination shall take effect at the end of the fiscal year of the terminating withdrawal. ARTICLE 28 Depository 1. Upon signature, this MOU shall be deposited with both the ROK Ministry of Foreign Affairs and Trade and the ASEAN Secretariat. The Secretary General of ASEAN shall then promptly send a certified copy thereof to the ASEAN Member Countries. 2. Instruments of ratification and acceptance mentioned in Article 25 shall be deposited with the ASEAN Secretariat. ARTICLE 29 Suspension Each Centre Member reserves the right for reasons of national security, national interest, public order or public health to suspend temporarily, either in whole or in part, the implementation of this MOU. Such suspension shall take effect immediately after notification has been given to the other Centre Members through diplomatic channels. 44 ANNEX ARTICLE 1 This Annex intends to provide rules and regulations in accordance with Article 8 of the MOU regarding the appointment of the Secretary General, the structure of the Secretariat and the division of duties. ARTICLE 2 Appointment of the Secretary General 1. The Secretary General shall be nominated three months prior to the termination of his/her predecessor s term of office. However, this Paragraph shall not apply to the first Secretary General. 2. The Secretary General applicants, who shall be nationals of Centre Members and fluent in English, should meet at least one of the following criteria. He/she shall have: (a) at least three years of progressively responsible experience at a post equivalent to or higher than D2 or P5 level in an international organization; (b) at least three years of progressively responsible experience at a post equivalent to or higher than Director General in the Government of the Centre Member; or as the Managing Director of a well established company, (c) at least seven years of progressively responsible experience in related affairs with a doctorate degree or its equivalent in political science, international relations, international law or a related field; or (d) at least ten years of progressively responsible experience in a related field with a Master s degree or its equivalent in political science, international relations, international law or a related field. 3. Each Centre Member shall appoint one person as interviewer for the Secretary General applicants (hereinafter referred to as Interviewer ). The Executive Board may function as Interviewers.

45 4. The Executive Board shall recommend to the Council the person who is ranked first at the interview stipulated in Paragraph 3. The Council will nominate him/her as the next Secretary General unless the Council finds serious reasons for his/her disqualification. ARTICLE 3 Units of the Secretariat 1. In the initial phase of operation, the Secretariat shall establish the following four units: (a) Development Planning and General Affairs Unit, (b) Trade and Investment Unit, (c) Culture and Tourism Unit, and (d) Information and Data Unit. 2. The Secretary General may establish additional units with the approval of the Council, depending on the scope of the activities under this MOU. 3. Each Unit shall have at least one national of an ASEAN Member Country and one national of the ROK. ARTICLE 4 Development Planning and General Affairs Unit 1. The Executive Board shall appoint the Head of the Development Planning and General Affairs Unit upon his/her nomination by the Secretary General. 2. The duties of the Development Planning and General Affairs Unit shall be as follows: (a) (b) (c) (d) to devise an annual work program; to evaluate the outcome of work program; to operate the general budget of the Centre; and to take charge of matters which do not fall in the category of the duties of any other Unit

46 ARTICLE 5 Trade and Investment Unit 1. The Executive Board shall appoint the Head of the Trade and Investment Unit upon his/her nomination by the Secretary General. 2. The duties of the Trade and Investment Unit will be as follows: (a) (b) (c) (d) (e) to introduce business opportunities for ASEAN Member Countries in the ROK; to assist and advise the ROK and ASEAN enterprises involved in ASEAN ROK trade; to hold appropriate events on trade fairs and investment relations; to conduct research and studies on trade and investment; and to take charge of other activities regarding trade and investment between the ASEAN Member Countries and the ROK. ARTICLE 6 Culture and Tourism Unit 1. The Executive Board shall appoint the Head of the Culture and Tourism Unit upon his/her nomination by the Secretary General. 2. The duties of the Culture and Tourism Unit shall be as follows: (a) (b) (c) (d) (e) to hold cultural events promoting mutual understanding; to provide within the ROK information regarding ASEAN tourism resources; to hold appropriate events promoting tourism between the ASEAN Member Countries and the ROK; to conduct research and studies on cultural exchange and tourism; and to take charge of other activities regarding cultural exchange and tourism between the ASEAN Member Countries and the ROK.

The nominee should be a person with at least five years of work experience in data processing affairs or related fields. 3.
